General Terms and Conditions
The following Terms and Conditions (GTC) regulate the contractual relationship between bcause and its
members (PART 2). These are preceded by the general Terms of Use (PART
1).
In addition, the Privacy Policy of bcause applies.
We always address all people. For this purpose, we sometimes use the feminine and sometimes
the masculine form.
PART 1 - General Terms of Use
1 Scope of Application
1.1. The internet platform bcause, accessible via www.bcause.com, is operated by bcause GmbH, Meinekestraße 26, 10719 Berlin. This is the contracting party for the use of the platform, regardless of whether you access bcause via the website or mobile apps.
1.2. The user agreement for the bcause mobile device application (hereinafter referred to as the App) and the content and functions offered herein is concluded exclusively between the user and bcause. Apple Inc. or its affiliated companies are not contracting parties with regard to the App content.
1.3. These Terms of Use apply to all users of the platform and regulate the rights and obligations when visiting the platform and using the available functionalities.
2 Registration as a User
2.1 Registration as a user is free of charge.
2.2 The user registers by filling out the registration form on the platform and clicking the "Register" button. By completing the registration process, the user submits a binding offer to enter into a contract for the use of the platform.
2.3 bcause reserves the right to reject the registration of a user without giving reasons, even if all prerequisites for acceptance as a user are met.
3 Subject of the User Agreement
3.1 Upon registration, a foundation fund (hereinafter also referred to as a foundation account) is established for each member with a non-profit bcause trust foundation (hereinafter also referred to as the entity).
3.2 Members can set up additional sub-foundation funds (so-called fundraising campaigns). A fundraising campaign is a collective campaign by a member for at least one non-profit organization. Section 4.4 applies accordingly to fundraising campaigns.
4 Foundation Funds and Investment Guidelines
4.1 Deposits into the member account are payments to a bcause trust foundation. Upon payment, the donor declares that these are intended to endow the entity with assets or to increase its assets. These deposits are therefore not subject to the requirement of timely use of funds within the meaning of the German Fiscal Code (Abgabenordnung).
4.2 A donation confirmation from the bcause trust foundation will be issued for payments into the account, provided that bcause has the necessary information for issuing the donation confirmation, in particular the name and address details. Donation confirmations are generally issued retroactively on an annual basis after the end of a calendar year. There is no entitlement to an interim certificate.
4.3 Upon payment into the account, the amount paid by the member is fully transferred to the assets of the foundation. The foundation has appointed bcause Treuhand GmbH (hereinafter "Trustee") to manage the assets.
4.4 The Trustee endeavors to take into account the member's funding request selected on the platform when allocating the funds; neither the member nor the respective organization designated as the recipient of the donation has a legal claim to the transfer of the funds to the target selected by the member.
4.5 When utilizing the funds, the Trustee takes into account, in addition to the member's wishes, the legal and contractual obligations between itself and the bcause trust foundation.
5 Ancillary Obligations of the User and Indemnification
5.1 The data requested by bcause must be provided completely and correctly.
5.2 If the provided data changes after registration, the user is obliged to correct the details in their profile immediately.
5.3 The user is solely responsible for the use of their profile. Should the user notice any unauthorized use of their account, they are obliged to inform bcause immediately.
5.4 The user is fully responsible for their behavior on the platform and for all contents posted by them and their correctness. Before actual participation or posting of contents, the user must ensure that their behavior or contents do not violate the Terms of Use or rules of bcause, statutory provisions, public decency, or the rights of third parties (e.g. trademark, name, copyright, and data protection law, youth protection regulations, general personal rights, competition law). In particular, the user undertakes to obtain the necessary consents from the participants/affected persons/authorized parties, for example, the photographers or the persons depicted or named, before posting
texts or images and to prove this to bcause at any time upon request. The user indemnifies bcause from any claims of third parties resulting from a violation of this obligation.
5.5 bcause reserves the right at any time to temporarily suspend the services to the member in order to check for possible breaches of duty or violations of netiquette.
6 Termination of the User Relationship
The user agreement is concluded for an indefinite period and can be terminated by bcause and the user at any time with immediate effect. Termination is carried out by deleting the user account, for which a corresponding button is available in the user's profile settings.
7 Limitation of Liability
7.1 Without prejudice to the other statutory requirements for claims, the following exclusions and limitations of liability apply to a liability of bcause for damages:
7.2 bcause is liable if bcause is guilty of intent or gross negligence. For simple negligence, bcause is only liable in the event of a breach of an obligation, the fulfillment of which makes the proper execution of the contract possible in the first place and on the compliance of which the user may regularly rely (so-called cardinal obligation). Otherwise, liability for damages of any kind, regardless of the legal basis of the claim, including liability for fault upon conclusion of the contract, is excluded.
7.3 If bcause is liable for simple negligence pursuant to Section 7.1, the liability of bcause is limited to the damage that bcause typically had to expect to arise under the circumstances known at the time the contract was concluded.
7.4 The aforementioned exclusions and limitations of liability also apply in favor of bcause's employees, vicarious agents, and other third parties whose services bcause uses to perform the contract.
8 System Integrity
bcause reserves the right to change, restrict, or discontinue the scope and functionalities of the website at any time. Although bcause endeavors to offer its service without technical disruptions, maintenance work, further development, and/or other disruptions in particular may restrict and/or temporarily interrupt usability. Under certain circumstances, this may result in loss of data. bcause therefore assumes no liability for the availability of the service or the absence of technical disruptions or loss of data.
9 Rights of Use and Copyrights
In relation to the user, bcause is the sole owner of the rights of reproduction, distribution, processing, and all copyrights, as well as the right of incorporeal transmission and reproduction of the bcause website and the individual content contained therein. The use of all programs and the content, materials, brand names, and trade names contained therein is permitted exclusively for the purposes specified in these Terms and Conditions.
10 Applicable Law, Alternative Dispute Resolution
10.1 German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes arising out of and in connection with this contract is Berlin, to the extent legally permissible.
10.2 The EU Commission offers the possibility of online dispute resolution on an online platform operated by it. This platform can be reached via the external link http://ec.europa.eu/consumers/odr/. bcause does not participate in dispute resolution proceedings before consumer arbitration boards and is not obliged to do so.
11 Severability Clause, Amendment of the GTC
11.1 Should any provision of the contract or the GTC be or become invalid or should the contract be incomplete, the validity of the remaining content of the contract shall not be affected thereby. In addition, the statutory provisions shall apply.
11.2 bcause reserves the right to amend these GTC at any time and without giving reasons. The amended conditions will be sent to the user by email at least two weeks before they take effect. If a user does not object to the validity of the new GTC in writing or in text form to bcause within two weeks of receiving the email, the amended GTC shall be deemed accepted. bcause will separately inform the users of the significance of this two-week period in the email containing the amended conditions. If a user does not agree with the amended conditions, they must stop using bcause's services.
PART 2 - GTC for Members
1 Conclusion of Contract
1.1 By entering personal data and confirming the button "Subscribe with obligation to pay", the user concludes a Professional membership.
1.2. The conclusion of a paid membership in the App takes place via the Apple App Store. In this connection, Apple Distribution International Limited is solely responsible for payment processing and invoicing.
1.3 Persons who have not yet reached the age of 18 may not conclude a paid membership.
2 Fees
2.1 The Professional membership with bcause is subject to fees. The fees are summarized in the fee table: Fee table
2.2 The fees are due for the first time with the start of the Professional membership at bcause. During the term of the contract, the fees are due annually on the key date of the original start of the membership.
2.3 If the member selects SEPA direct debit as the payment term (if offered), the debit will be announced in advance.
2.4 The member is in default of payment of the fee if the payment is not received by bcause within two weeks after receipt of the invoice. In the event of default of payment, the default interest rate is 8 percentage points above the base interest rate of the European Central Bank. In the event of default of payment, bcause reserves the right to charge dunning fees in the amount of 2.50 euros. The assertion of further damages remains unaffected. The member retains the possibility to prove that bcause has incurred no or less damage.
2.5 In the event of default of payment, bcause is entitled to temporarily block access to the bcause services.
3 Contractual Content of the Memberships
3.1 The Basic membership is free of charge. It includes the following functionalities:
Participation in bcause grow (see Section 4) is limited to the maximum amount of 10,000 EUR.
Suggestions for use for German non-profit organizations
3.2 A Professional membership is subject to fees. It includes the following Professional functionalities:
a public foundation with its own bcause.com/URL per Professional membership
Suggestions for use for German and international non-profit organizations
participation in bcause grow (see Section 4) or funding requests for so-called investment opportunities on bcause (see Section 5) in an unlimited amount
4 bcause grow
4.1 The bcause trust foundation credits a bonus to a member's foundation account, provided that the member
has activated the corresponding bcause grow feature and
a credit balance exists
4.2 The crediting of a bonus is at the discretion of the bcause trust foundation, both in principle and as to the amount, and can be changed or discontinued at any time.
5 Funding Requests for So-called Investments
If the member has made a funding request for a so-called investment (e.g. loan, other investment, or bcause impact portfolio) that the Trustee has implemented, then the bcause trust foundation will credit the member with a bonus as long as the funding request has not been terminated or the investment has not ended. Section 4.2 applies accordingly.
6 Contract Term, Termination
6.1 The contract for a paid membership has a term of 12 months (annual membership) or one month (monthly membership) and is automatically extended unless the member terminates their contract properly in compliance with the notice period.
6.2 The member and bcause have the right to terminate the membership contract with a notice period of one month. A corresponding button is available to the member in their profile settings for this purpose.
6.3 Extraordinary termination is governed by statutory provisions. It must be in writing.
7 Consequences of Termination of Membership
7.1 After the end of the membership, the Professional functionalities are no longer available to the member.
7.2 Any credit balance remaining in the member's foundation funds or foundations at the end of the membership will be used by bcause in accordance with the statutory purposes and investment guidelines of a bcause trust foundation.
7.3 If the member dies, the rights of use are transferred to the heirs; bcause is entitled to demand proof of heirship.
8 Right of Withdrawal / Exclusion of the Right of Withdrawal
8.1 Right of Withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period is 14 days from the date of the conclusion of the contract. To exercise your right of withdrawal, you must inform us, the

by means of an unequivocal statement (e.g. a letter sent by post or email) of your decision to withdraw from this contract. You may use the attached model withdrawal form, but this is not mandatory. You can find the form here.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
8.2 Consequences of Withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated us your withdrawal from this contract, in comparison with the full coverage of the contract.
End of Instructions on Withdrawal
8.3 For a clear assignment, the member's declaration of withdrawal should contain the following two details:

Member number/Profile ID
The member number is assigned to the member at the beginning of their membership and can be viewed online by them at any time.
