General Terms and Conditions for Organizations (GTC)
The following Terms and Conditions govern the contractual relationship between bcause and the organizations receiving donations (hereinafter: organizations).
In addition, the privacy policy of bcause applies.
We always address all people. For this purpose, we sometimes use the feminine, sometimes the masculine form.
1 Scope of Application
1.1 The organization platform bcause on demand, accessible via cash.bcause.com (hereinafter: platform), is operated by bcause GmbH, Meinekestraße 26, 10719 Berlin. This is the contractual partner for the use of the platform, regardless of whether you reach bcause via the website or mobile apps.
1.2 The user agreement for the mobile device application of bcause (hereinafter referred to as the App) and the content and functions offered therein is concluded exclusively between the user and bcause. Apple Inc. or its affiliated companies are not contractual partners in relation to the App content.
1.3 These Terms of Use apply to all users of the platform and govern the rights and obligations when visiting the platform and when using the available functionalities.
2 Registration as a User
2.1 Registration as a user is free of charge.
2.2 The user registers by filling out the registration form on the platform, agreeing to these Terms and Conditions and the privacy policy, and clicking the "Next" button. By completing the registration process, the user submits a binding offer to enter into a contract for the use of the platform.
2.3 bcause reserves the right to reject the registration of a user without giving reasons, even if all requirements for admission as a user are met.
3 Subject Matter of the User Agreement
Registration entitles the user to manage the account created for the respective organization.
4 Donations
4.1 The amount displayed in the account represents the amount of the donation intention of the bcause Treuhandstiftung.
4.2 The donation will only be paid out if the organization has requested the donation payment and the other requirements for the payment are met (see Section 6).
5 Bonus Payment (bcause grow)
5.1 The bcause Treuhandstiftung credits a bonus provided that the user has activated the corresponding feature bcause grow and credit in the form of a donation intention is available.
5.2 The credit of a bonus is at the discretion of the bcause Treuhandstiftung, both in terms of principle and amount, and can be changed or discontinued at any time.
5.3. The credit is issued monthly.
6 Proof of Current Tax-Privileged Status
6.1 A prerequisite for the payout of the donation is, among other things, proof of non-profit status provided by the organization. For this purpose, the organization submits its exemption notice or the current annex to the corporate income tax assessment notice or a current notice pursuant to Section 60a of the German Fiscal Code (AO) as proof of its tax-privileged status, or suitable proof of its status as a domestic legal entity under public law or a public agency.
6.2. If newly established tax-privileged corporations can only provide a notice pursuant to Section 60a AO, the exemption notice or the annex to the corporate income tax assessment notice must be submitted immediately and unsolicited after issuance. The organization may therefore only submit a notice pursuant to Section 60a (1) AO as proof of tax-privileged status if it has not yet received either an exemption notice or an annex to the corporate income tax assessment notice confirming the tax-privileged status.
6.3 Organizations must submit a newly issued exemption notice or a newly issued annex to the corporate income tax assessment notice unsolicited no later than 6 weeks before the expiry of the validity of the exemption notice, annex to the corporate income tax assessment notice, or notice pursuant to Section 60a AO submitted to bcause.
6.4 In any case, a valid proof of tax-privileged status must be available at the time of the donation by bcause to the organization. Otherwise, no donation can be made by bcause to the organization.
6.5 The organization shall inform bcause immediately and unsolicited of any change in its tax-privileged status and warrants the status of the tax-privileged status until receipt of the notification of any changes.
7 Termination of the User Relationship
The user agreement is concluded for an indefinite period and can be terminated by bcause and the user at any time with immediate effect.
8 Limitation of Liability
8.1 For any liability of bcause for damages, the following exclusions and limitations of liability apply, without prejudice to other statutory requirements for claims:
8.2 bcause is liable if bcause is guilty of intent or gross negligence. For simple negligence, bcause is only liable in the event of a breach of an obligation, the fulfillment of which makes the proper execution of the contract possible in the first place and on the compliance of which the user may regularly rely (so-called cardinal obligation). Otherwise, liability for damages of any kind, regardless of the legal basis, including liability for fault at the time of conclusion of the contract, is excluded.
8.3 If bcause is liable for simple negligence pursuant to Section 5.1, the liability of bcause is limited to the damage that bcause typically had to expect to arise under the circumstances known at the time the contract was concluded.
8.4 The forementioned exclusions and limitations of liability also apply in favor of the employees of bcause, vicarious agents, and other third parties whose services bcause uses to fulfill the contract.
9 System Integrity
bcause reserves the right to change, restrict, or discontinue the scope and functionalities of the website at any time. Although bcause endeavors to offer its service without technical disruptions, maintenance work, further development, and/or other disruptions in particular may restrict and/or temporarily interrupt the usability. Under certain circumstances, this may result in data loss. bcause therefore assumes no responsibility for the availability of the service or the absence of technical disruptions or data loss.
10 Rights of Use and Copyrights
In relation to the user, bcause is the sole owner of the reproduction, distribution, processing, and all copyright rights, as well as the right of incorporeal transmission and reproduction of the bcause website and the individual content contained therein. The use of all programs and the content, materials, and brand and trade names contained therein is permitted exclusively for the purposes specified in these business conditions.
11 Applicable Law, Alternative Dispute Resolution
11.1 German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes arising from and in connection with this contract is, to the extent permitted by law, Berlin.
11.2 The EU Commission offers the possibility of online dispute resolution on an online platform operated by it. This platform is accessible via the external link http://ec.europa.eu/consumers/odr/. bcause does not participate in dispute resolution proceedings before consumer arbitration boards and is not obliged to do so.
12 Severability Clause, Amendment of the Terms and Conditions
12.1 Should any provision of the contract or the Terms and Conditions be or become invalid, or should the contract be incomplete, the contract in its remaining content shall not be affected thereby. The statutory provisions shall apply additionally.
12.2 bcause reserves the right to amend these Terms and Conditions at any time and without giving reasons. The amended conditions will be sent to the user by e-mail at least two weeks before they take effect. If a user does not object to the validity of the new Terms and Conditions in writing or in text form to bcause within two weeks of receiving the e-mail, the amended Terms and Conditions are deemed to be accepted. bcause will separately draw the users' attention to the significance of this two-week period in the e-mail containing the amended conditions. If a user does not agree with the amended conditions, she must stop using the services of bcause.
